Definitions

In these terms and conditions: ‘the client’, ‘you’ or ‘your’ means the person requesting a quote and/or ordering a product; and ‘the developer’ ‘we’, ‘us’ or ‘our’ means Competa Web Design, a Pixal Media Group company. Competa Web Design is a trading name of Steven Standring (Y6831972C) at Par Olivo Vacin, 561, Archez, Malaga, 29753.

Acceptance

Please read these terms and conditions carefully. Any purchase or use of our services implies that you have read and accepted our terms and conditions. If a client accepts a quote then the client will be deemed to have satisfied themselves as to the terms applying and have accepted these terms and conditions in full.

Quotes and payments

Quotes are valid for a period of 30 days. We reserve the right to alter or decline to provide a revised quote after the expiry of the 30 days.

Once a client accepts a quote, we will issue an invoice. A quote only becomes a contract between the developer and the client when the developer issues an invoice to the client that is reflective of the quote.

Clients will be required to pay a 50% non-refundable deposit of the project cost before any work can begin with the remaining balance due at project completion.

Invoice payment terms for all invoices are 7 days from the date of the invoice unless agreed in writing with the developer.

Payments must be made by bank transfer to the account details on the invoice.

Client Review

Competa Web Design will provide the client with an opportunity to review the appearance and content of the website during the design phase and once the overall website development is completed. At the completion of the project, such materials will be deemed to be accepted and approved unless the client notifies us otherwise within 10 days.

Copyright

Copyright of the completed web designs, images, pages, code and source files created by Competa Web Design for a project shall be owned by us. These terms grant a non-exclusive limited license so that the client can use the design on one website on one domain name only.

Copyright of any materials passed to us for inclusion in any design, such as logos, images and text remains the ownership of the client. The client grants us a license to use these materials for the purpose of developing their website.

Design Credit

A link to the Competa Web Design website will be added to the footer of the client’s website. If a client requests that the design credit be removed a fixed fee of €200 will be applied. The client also agrees that the website developed for the client may be presented in a portfolio, a case study or social media content of Competa Web Design or any other company within Pixal Media Group.

Domains

Competa Web Design can purchase domain names at cost on behalf of the client. We will not add a margin to the purchase of domain names. The domain name will be owned by the client. Payment and renewal costs of domain names will be invoiced by us to the client. The loss, cancellation or otherwise of the domain brought about by non or late payment by the client to us is not the responsibility of Competa Web Design.

Where a client has already purchased a domain name, the client agrees to provide the account details of the current registrar so that we can either arrange a domain name migration or, where that is not possible, repoint the domain name servers to ours. If we migrate the domain name, the above term applies. Where we can only repoint the domain name servers it remains the responsibility of the client to ensure that domain name renewal payments are made to avoid cancellation or otherwise of the domain.

Browsers

We make every effort to ensure our websites can be viewed by the majority of visitors. Websites are designed to work with the most popular current browsers (e.g. Firefox, Microsoft Edge, Google Chrome, etc.). The client agrees that Competa Web Design cannot guarantee correct functionality with all browser software across different operating systems.

We cannot accept responsibility for web pages which do not display acceptably in obsolete versions or new versions of browsers released after the website has gone live. As such, we reserve the right to quote for any work involved in changing the website design or website code for it to work with updated browser software.

Search Engines

We endeavour to create pages that are optimised for search engines (excluding our simple websites) using best practice ethical techniques that conform to Google’s terms of business at the time of building a website. However, we give no guarantee that pages will become listed with search engines for certain search results. In no event shall Competa Web Design be held liable for any search engine rankings as a result of using our code.

Site Development and Amendments

Beyond the 10-day post-acceptance period, any requests by the client to amend or add website content shall be deemed as additional development. Clients with our professional or specialist websites receive 4 hours of complimentary development time in each 12-month period after site launch. Outside of this allocation, development is chargeable at €45 per hour + IVA, with 1 hour being the minimum period to be undertaken.

On client request, we will give a client or a client’s nominated third party a website user account with editor credentials. The client or third party may wish to edit their website code themselves to make updates. However, the client agrees that in so doing they assume full responsibility for any issues which occur as a result of changing the code themselves. If the client or a third party edits the website code and this results in functionality errors or the page displaying incorrectly, then we reserve the right to quote for work to repair the website.

Maintenance & Support

Site maintenance is included for all websites that are hosted with us. Non-critical maintenance is performed out of hours on a monthly basis. Critical maintenance is performed in real time as required. In the event that website downtime is required to perform non-critical maintenance to a site, we will inform the client by email at least 24 hours in advance. This does not apply to critical maintance.

Telephone and email support is provided to all clients. Standard support hours are Monday to Friday 09:00 to 18:00. An emergency support email address will also be provided to clients. All support is provided on a best endeavours basis and we do not warranty any service level for our support.

Website Security & GDPR

With the exception of our simple websites, our websites use 2-factor authentication on the client side and firewall technology on the server side to reduce the likelihood of any cyber attack. We cannot, however, accept any liability for any security breach and/or data leak that may occur. Where a client or 3rd party have a user account for a website, they agree to use 2-factor authentication on that account. We reserve the right to block website access for any user that does not enable 2-factor authentication.

With the exception of our simple websites, all websites have a published privacy policy and cookie consent pop-up, as dictated by GDPR regulations. This, however, does not warrant that the client’s website is GDPR compliant. It is the responsibility of the client as the website owner to satisfy themselves that their website, as part of their wider business, is fully GDPR compliant. 

Liability

Competa Web Design hereby excludes itself, its employees and/or agents from all and any liability from:

Loss or damage caused by any inaccuracy;
Loss or damage caused by omission;
Loss or damage caused by delay or error, whether the result of negligence or other cause in the production of a website;
Loss or damage caused by website unavailability or technical failure.

The entire liability of Competa Web Design to the client in respect of any claim or breach whatsoever, whether or not arising out of negligence, shall be limited to the charges paid for the client’s products/services in respect of which the breach has arisen.
